The following is a representative list of significant transactions in which I have performed legal services.

Business Purchase and Sale Transactions

  • I represented the Seller of large national engine distributorship with multiple transaction sizes of $12,000,000, $3,600,000 and $2,900,000.
  • I represented the Purchaser of large recreational businesses in the amounts of $7,000,000 and $4,000,000.
  • I represented the Seller of a flight operations center, transaction size of $6,000,000.
  • I represented the Seller in the sale of stock in a factoring company to a publicly traded company, with a transaction size of $3,600,000.
  • I represented the Seller in the sale of an engineering company to a publically traded company, with a transaction size of $4,300,000.
  • I represented the Purchaser of its only nationwide competitor, with a transaction size in excess of $2,000,000.
  • I have represented buyers and sellers of businesses, large and small. This representation includes transaction sizes from $5,000 and upward, with the largest transaction of $12,000,000.

Finance and Refinance Transactions

  • I represented the Borrower on a $30,000,000 refinance of an apartment project in preparation for condominium conversion.
  • I represented the Borrower on a refinance of a recreational property, and acquisition of a departing partner's interest. Transaction size of $14,900,000.
  • I have represented Borrowers on permanent financing or purchase financing transactions involving office buildings, industrial, retail, multi-family (apartments and condominiums), businesses and recreational properties. My representation covers numerous transactions in sizes of $9,700,000; $9,350,000; $7,700,000; $7,500,000; $7,346,000; $7,080,000, and smaller.
  • I have represented Borrowers on construction financing in transactions sized at $8,450,000; $7,000,000, $6,300,000, $4,000,000, and smaller ranging from commercial projects to single family home construction loans.
  • I have represented Borrowers on secured and unsecured credit lines and other real estate and business financing vehicles, from small transactions of $25,000, up to large commercial lines as much as $7,000,000.
  • I have represented defaulting borrowers in workout transactions for loans ranging up to $10,000,000, and as small as minor financing lines.
  • I have represented hard money lenders on numerous transactions, both transactional and debt realization (collection).

Equity Transactions

  • I represented the Borrower/Issuer in a financing line of credit with equity portions, in the amount of $8,000,000.
  • I assisted in the representation of an issuer of securities to be traded on a public exchange, with a final transaction size in excess of $4,000,000.
  • I have represented the issuers or sellers of private securities in transactions sizes ranging to $4,000,000.
  • I have represented developers in the purchase, development and lease back of property. Representative transactions in amounts up to $3,000,000.

Real Estate Transactions

  • I represented the purchaser in the largest land purchase and sale transaction in San Juan County history ($22,200,000).
  • I represented the seller of lots in completed subdivisions ($10,400,000; $5,135,000; $3,380,000, and in lesser amounts).
  • I have represented purchasers and sellers of numerous office buildings, apartment buildings, completed condominium projects, industrial properties, vacant land and similar land types, in sizes of $7,615,000; $4,800,000; $4,575,000, and smaller.
  • I represented the purchaser in a purchase, redevelopment and lease back of real property (two projects of $5,950,000 and $2,550,000).
  • I represented the Seller in the sale and leaseback of a large office building ($5,129,000).
  • I have represented developers in the acquisition and construction of various projects. Representative sizes include $3,360,000, $2,800,000, $2,000,000 and smaller amounts.
  • I have represented Borrowers on construction financing in transactions sized at $8,450,000; $7,000,000, $6,300,000, $4,000,000, and smaller ranging from commercial projects to single family home construction loans.
